2. Definitions
Account
A registered environment created for Customer.
Authorized User
Employee, contractor, representative, administrator, or approved operator.
Customer Data
Data submitted, synchronized, imported, uploaded, generated, stored, or processed by Customer.

Platform Data
Aggregated operational, security, diagnostic, and performance information generated by operation of Services.

- OneFulfillCenter
- future affiliated offerings
Participation in ecosystem services remains optional.
3. Eligibility
Customer represents:
- legal authority to enter agreement
- lawful business use
- accurate information
- authority to bind organization
Services are not intended for children.
4. Account Responsibilities
Customer is responsible for:
- user access
- passwords
- MFA settings
- permissions
- API credentials
- administrator actions
- account recovery
Customer shall notify Company promptly regarding:
- unauthorized access
- suspected compromise
- security concerns
5. License
Company grants Customer a:
- limited
- revocable
- non-exclusive
- non-transferable
license to access Services.
Customer shall not:
- copy software
- reverse engineer
- bypass restrictions
- resell platform access
- create competing products
- misuse APIs
unless separately authorized.
6. Acceptable Use
Customer shall not:
Platform Abuse
- interfere with operation
- overload infrastructure
- benchmark without approval
Security Abuse
- distribute malware
- scan infrastructure
- attempt unauthorized access
Data Abuse
- scrape unauthorized data
- re-identify anonymized information
Marketplace Abuse
- manipulate listings
- create false inventory
AI Abuse
- exploit models
- generate harmful activity
Violation may result in suspension.
7. Customer Data
Customer retains ownership of Customer Data.
Company receives limited rights to:
- host
- process
- secure
- synchronize
- operate
- improve delivery of Services
Customer remains responsible for legality and accuracy.
8. Data Separation
Customer operational data remains logically separated.
Customer data shall not intentionally be disclosed to another customer.
Customer data shall not be shared with ecosystem services unless Customer enables integration.
9. Privacy
Processing is governed by:
- Privacy Policy
- Cookie Policy
- Data Processing Addendum
- applicable privacy regulations
Customers are responsible for obtaining necessary permissions.
10. AI Services
AI outputs may contain:
- inaccuracies
- omissions
- incomplete recommendations
Customer remains responsible for decisions.
Customer data may be retained according to applicable retention policies.
Customer remains responsible for reviewing:
- pricing
- product content
- inventory decisions
- compliance outputs

11. API and Integrations
Customer agrees to:
- protect credentials
- observe rate limits
- maintain integrations
- manage retry behavior
Company may:
- throttle requests
- suspend misuse
- revise APIs
Third-party integrations remain governed by their own terms.
12. Marketplace and Channel Policy
Company operates as software infrastructure.
Unless separately agreed, Company is not:
- merchant of record
- importer
- exporter
- reseller
Customer remains responsible for:
- taxes
- listings
- inventory
- pricing
- compliance
13. Optional Ecosystem Services
Customer may use:
- OneChannelAdmin only
- OneDirectBuy
- OneFulfillCenter
- third-party providers
- external marketplaces
- external warehouses
Participation in ecosystem services is optional.
Company does not require customers to use affiliated services.
Company does not intentionally provide:
- preferential ranking
- preferential pricing
- preferential allocation
- preferential fulfillment
14. Fees
Customer agrees to pay:
- subscription fees
- AI usage fees
- storage fees
- API usage fees
- transaction fees
- applicable taxes
Late payment charges may apply.
15. Billing
Plans may include:

Subscriptions renew automatically unless cancelled.
No trial period unless separately offered.
Refund eligibility is governed separately.
16. Service Availability
Company targets service availability objectives.
Availability may exclude:
- maintenance
- customer systems
- force majeure
- third-party outages

17. Maintenance
Company may:
- update

- migrate

Scheduled maintenance may occur during maintenance windows.
18. Security
Company maintains reasonable safeguards including:
- encryption
- monitoring
- RBAC
- MFA
- audit logging
- backups
Security practices are designed to support alignment with recognized frameworks.
Company does not represent certification unless explicitly stated.
19. Backup and Recovery
Operational backups may be performed.
Customers should maintain independent exports.
Retention periods may vary.
20. Compliance
Company supports operational alignment with selected privacy and security frameworks.
Availability of certifications varies by service and time.
21. Intellectual Property
Company owns:

- trademarks
- documentation
- platform intellectual property
Customer owns Customer Data.
22. Feedback
Company may use feedback without obligation.
23. Confidentiality
Each party agrees to protect confidential information.

26. Limitation of Liability

- Customer Data
- unlawful conduct
- marketplace activity
28. Term
Agreement begins upon acceptance.
29. Termination
Company may suspend or terminate for:
- abuse
- security concerns
- legal obligations
- non-payment
30. Effect of Termination
Customer may export available data.
Retention and deletion are governed separately.
31. Changes
Company may revise these Terms.
Continued use constitutes acceptance.
32. Governing Law
These Terms are governed by Florida law unless otherwise agreed.
33. Disputes
Parties agree to attempt good-faith resolution prior to escalation.
34. Entire Agreement
These Terms together with referenced policies form the complete agreement.
